For The Limited Liability Partnership in India is registered under the LLP Act 2008. At the time of getting the limited Liability Partnership registered an address is taken as the registered office address of it. The Registered office address plays a very important role for a LLP as all the communications with the company are done at these registered address.  However, due to some reasons the situation may occur wherein the requirement of shifting the registered office address may occur. There are rules and regulations stipulated in the LLP act 2008 for the registration and the conduct of the Limited Liability Partnership.  Similarly, there are procedures for shifting the LLP registered office in different situations. Today with this article we will be taking a look at the legal aspects of procedure of changing the  registered office address of the LLP.

Case 1 – Registered Office Address Change within One state and Jurisdiction of Registrar

 

  1. In order to start the procedure of shifting check whether the LLP agreement provide for the same or not. In case the LLP agreement does not provide for the same the consent of all the partners must be obtained by passing the resolution at the partners meeting.
  2. Within the 30 days of passing the resolution form 15 must be filed with the registrar of the jurisdiction in which the company is registered.

Case 2- Registered office Address Change within One state but from the jurisdiction of one Registrar to another

 

  1. In order to shift the registered office from the jurisdiction of one registrar to another the consent of all the partners is required if the LLP agreement does not provide for the same. The consent of all the partners must be obtained by passing the resolution at the partners meeting.
  2. Within 30 day of passing the resolution form 15 must be filed to the registrar of the jurisdiction in which the company is registered for now and the information must also be sent to the registrar in whose jurisdiction the LLP is proposed to be listed.
  3. Also the supplementary agreement must be executed and should be filed with the form LLP 3.

Case 3 – Registered office Address Change from One State to Another

 

  1. In order to shift the registered office from one state to another the consent of all the partners is required if the LLP agreement does not provide for the same. The consent of all the partners must be obtained by passing the resolution at the partners meeting.
  2. Apart from the consent of the partners the consent of the creditors is also required in this case.
  3. Further the form 15 must be filed with the registrar on whose jurisdiction the company is registered.
  4. At least 21 days prior to filing any form with the registrar of companies , a notice shall be published in a daily newspaper published in English and in the principal language of the district in which the registered office of the LLP is situated and circulated in that district giving notice of change of registered office.
  5. Lastly the supplement agreement shall also be executed filed in LLP 3 form.

These are the steps that every Limited Liability Partnership firm is required to follow in order shift the registered office address from one place to another.
